Terms and Conditions

Welcome to Dev Spark Technologies ("we", "us", "our"). These Terms and Conditions ("Terms") govern your use of our website and the services we provide (together, the "Services"). By using the Services you agree to these Terms. A signed proposal or agreement for a specific project takes precedence over these Terms where they differ.

1. Acceptance of terms

By using the Services you confirm that you have read, understood and agree to these Terms. If you do not agree with any part of them, please do not use the Services.

2. Our services

We provide DevOps, cloud, software development (web, mobile, WordPress and e-commerce), paid advertising, social media and SEO services. The scope, deliverables, timeline and price of each project are set out in a written proposal.

3. Use of the services

3.1 Eligibility

You must be at least 18 years old and able to enter into a binding agreement to use the Services.

3.2 Your responsibilities

• Provide accurate, complete and up-to-date information.
• Keep any account credentials we share with you, or you share with us, secure.
• Make sure you have the rights to any content, data or materials you give us to use.
• Comply with all applicable laws when using the Services.

4. Fees and payment

4.1 Project fees

Fixed-price projects require a 30% deposit before work starts. The balance is invoiced at the milestones agreed in the proposal, with the final payment due at launch or handover. Work outside the agreed scope is quoted before it begins.

4.2 Monthly services

Ongoing services, such as maintenance, managed cloud and ads management, are billed monthly in advance and can be cancelled with 30 days' written notice. Advertising spend is paid by you directly to the advertising platforms and is not included in our fees.

4.3 Payment terms

Invoices are payable within 7 days by bank transfer, Wise, Payoneer or PayPal, in US dollars unless agreed otherwise. We may pause work on overdue accounts.

4.4 Refunds

Deposits and milestone payments cover work already scheduled or completed and are generally not refundable once that work has started, unless your proposal says otherwise.

5. Intellectual property

On receipt of full payment, you own the custom code, designs and content we create specifically for you. Open-source software, third-party components, and our pre-existing tools and know-how remain under their own licenses and ownership; you receive the right to use them as part of your deliverables. The content of this website, including our name, logo, illustrations and animations, belongs to Dev Spark Technologies and may not be copied, reused or redistributed without our written permission.

6. Confidentiality

We keep confidential any non-public information you share with us and use it only to deliver the Services. We are happy to sign a separate non-disclosure agreement on request. Our Privacy Policy explains how we handle personal data.

7. Prohibited activities

• Unauthorized use of our intellectual property.
• Attempting to disrupt, damage or gain unauthorized access to the Services or our systems.
• Using the Services for any unlawful or fraudulent purpose.

8. Warranty and support

We fix defects in our deliverables reported within 30 days of launch at no charge. Ongoing support after that period is available under a maintenance or retainer plan. We do not guarantee specific business results such as rankings, traffic or revenue.

9. Limitation of liability

To the fullest extent permitted by law, Dev Spark Technologies is not liable for any indirect, incidental, special or consequential damages, including loss of profits, data or goodwill. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the 12 months before the claim.

10. Indemnification

You agree to indemnify and hold harmless Dev Spark Technologies and its team from claims arising from content or materials you supply, or from your breach of these Terms.

11. Termination

Either party may end a project or plan with written notice. You pay for work completed up to the end date, and we hand over all completed deliverables you have paid for.

12. Changes to these terms

We may update these Terms from time to time. Changes are posted on this page with a new "last updated" date and do not affect projects already under a signed proposal.

13. Governing law

These Terms are governed by the laws of Pakistan, and disputes are subject to the courts of Islamabad, unless your signed agreement specifies otherwise.
